The company was legally structured as a simple mainland LLC, with The Founder and his brother as the primary shareholders.

1. Creating a Family Constitution: Before touching the legal structure, we facilitated a series of workshops with the family to create a “Family Constitution.” This document was not legally binding but was a crucial first step. It captured the family’s shared values, their long-term vision for the business, and the rules of engagement for family members working in the company.
2. Designing a New Holding Structure: We advised the family to move away from the simple LLC structure. We designed a new, more robust structure where a new Holding Company (“HoldCo”) was established to own the shares of the original trading business (the “OpCo”). This created a clear separation between the family’s ownership (at the HoldCo level) and the day-to-day operations of the business (at the OpCo level).
3. Establishing a Formal Board of Directors: We worked with the family to establish a formal Board of Directors for the HoldCo. Crucially, we advised them to include two independent, non-family directors on the board. These independent directors would bring outside expertise and an objective voice to major strategic decisions.
4. Drafting a Comprehensive Shareholder Agreement: A detailed Shareholder Agreement was drafted for the HoldCo. This was the key legal document that governed the relationship between the siblings as the new owners. It included:

o A list of major decisions that required a unanimous vote.
o Strict rules on the transfer of shares to prevent them from being sold outside the family.
o A clear process for valuing the shares and buying out a sibling who wished to exit.
